Terms of service

These terms are an agreement between you and [Company legal name] ("Nitro Clips", "we") for using the Nitro Clips website, web app and mobile apps (the "service"). By creating an account or using the service, you agree to them and to our Privacy policy.

1. Your account

• You must be at least 13, or the minimum age in your country, and able to agree to these terms.
• Keep your sign-in details secure. You're responsible for what happens in your account.
• If you use Nitro Clips for a business, you agree to these terms on its behalf.

2. What Nitro Clips does

Nitro Clips analyzes videos you provide, suggests short clips, frames and captions them, and lets you download them or post them to platforms you connect. Suggestions, transcripts, titles and captions are generated automatically and can be wrong. Review everything before you post; you decide what gets published.

3. Your content

• You keep ownership of the videos you upload and the clips you make.
• You give us a limited license to store, copy, process, transform and transmit your content only to run the service for you, including posting it to the platforms you choose. The license ends when the content is deleted, except for copies we must keep by law.
• You must own your content or have every right needed to use it this way, including rights to music, footage, logos and the likeness of the people in it.

4. Acceptable use

Don't use Nitro Clips to:

• Upload or post content that infringes someone else's copyright, trademark, privacy or other rights.
• Upload content you downloaded from YouTube, TikTok, Twitch or another platform without the rights to it.
• Promote cheats, exploits, hacks, or buying or selling accounts.
• Post illegal, sexually exploitative, hateful, harassing or violent content, or content that breaks a platform's rules.
• Upload malware, probe or overload the service, scrape it, or get around plan limits or security measures.
• Misrepresent who you are or imply that a platform or brand endorses you.

We may remove content or suspend accounts that break these rules.

5. Posting to other platforms

• When you connect and post to TikTok, YouTube or Instagram, that platform's terms also apply to you. In particular, posting to YouTube means you agree to the YouTube Terms of Service, and Google's Privacy Policy applies.
• Nitro Clips isn't affiliated with or endorsed by TikTok, YouTube, Google, Instagram or Meta. Platforms set their own limits (such as daily posting caps, video length and review requirements) and may change them, delay posts or reject them. Some posting features stay limited until a platform approves Nitro Clips. Downloading your clip is always available.
• You're responsible for what you post and for the settings you choose, such as privacy and disclosures.

6. Plans and billing

• The Free plan has the limits shown in the app. Paid plans are billed monthly in advance through Stripe and renew automatically.
• You can cancel anytime in Settings. Your plan stays active until the end of the period you paid for.
• Payments are non-refundable except where the law requires otherwise.
• We may change prices with at least 30 days' notice; the new price applies from your next billing period.
• Usage limits reset on the 1st of each month (UTC). Processing that fails because of our systems doesn't count against them.

7. Storage and availability

Original uploads are deleted 7 days after processing, and rendered clips after your plan's retention period, as described in the Privacy policy. Download anything you want to keep. We work to keep the service available but don't guarantee it will be uninterrupted or error-free.

8. Copyright complaints

If you believe content on Nitro Clips infringes your copyright, send a notice to [copyright@your-domain] with: your contact details; the work you claim is infringed; where the material is; a statement that you have a good-faith belief the use isn't authorized; a statement, under penalty of perjury, that your notice is accurate and that you're the owner or authorized to act for the owner; and your physical or electronic signature. If your content was removed and you believe that was a mistake, you can send a counter-notice to the same address. We end the accounts of repeat infringers.

9. Ending your use

You can delete your account at any time in Settings. We may suspend or end your access if you break these terms or if we must for legal reasons; where reasonable, we'll tell you first and give you time to download your clips.

10. Disclaimers

The service is provided "as is" and "as available". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

11. Limitation of liability

To the extent the law allows, we aren't liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or followers. Our total liability for any claim about the service is limited to the greater of the amount you paid us in the 12 months before the claim and 100 US dollars. Nothing in these terms limits liability that can't be limited by law.

12. Indemnity

You'll defend and compensate us for claims and costs arising from your content or from your breach of these terms or of a platform's terms, to the extent the law allows.

13. Governing law

These terms are governed by the laws of [State or country whose law governs the Terms], and disputes go to [Courts with jurisdiction, for example the state and federal courts of ...]. If you're a consumer, you keep the protections of the laws where you live.

14. Changes

We'll post changes here and update the effective date. For significant changes we'll email you before they take effect. If you keep using Nitro Clips after that, the new terms apply.
